In the latest change at the top at American International Group, the insurer announced that Suzanne Nora Johnson has been elected to the company board of directors.
Ms. Nora Johnson previously was vice chairperson of The Goldman Sachs Group Inc. until she retired in 2007. She had been with Goldman Sachs for over two decades, holding positions such as head of the Global Investment Research Division and chairperson of the Global Markets Institute. Ms. Nora Johnson also has served as an attorney with Simpson Thacher & Bartlett in New York.
Her addition to the AIG board follows the departure last month of AIG Chief Executive Office Martin Sullivan, who was replaced by AIG Chairman Robert Willumstad after the company experienced heavy losses.
In May the company moved Chief Financial Officer Steven Bensinger into the position of vice chairman and his CFO replacement is being sought. Chairman Willumstad when he added the CEO duties promised a top to bottom review of company operations.
Ms. Johnson is already a director on the boards of Intuit Inc., Pfizer Inc. and Visa Inc. She also serves on the boards of nonprofit organizations including The American Red Cross, The Brookings Institution, The Carnegie Institution of Washington and Women's World Banking.
The AIG board of directors is currently comprised of 12 members. Joe Norton, AIG spokesman, said that at the annual meeting of shareholders in May, 13 members were elected.
William Cohen and Frank Zarb had reached the age of 73 and retired, and Steve Hammerman did not wish to stand for re-election.
Of those 13 remaining members elected in May, two have since left: Mr. Sullivan, and Richard Holbrooke.
According to AIG's Corporate Governance Web site, the board currently believes that "it will be desirable over time to have a board of between 14 and 16 members"--however, the Web site adds that a larger or smaller number may be necessary during certain circumstances including periods of transition.
