Alliance Sets Corporate Governance Seminar
NU Online News Service, Oct. 7, 12:02 p.m. EST?The Alliance of American Insurers said it will hold a seminar for top company executives to instruct them in the new legal requirements for corporate governance.
The organization, based in Downers Grove, Ill., said the event on Nov. 14 in Chicago will be co-sponsored by KPMG.
An announcement said the seminar will look at responsibilities of corporate governance in light of the recently enacted Sarbanes-Oxley Act, new criminal laws, recent accounting issues, stock market issues and new disclosure requirements.
According to the Alliance, while many of these issues currently apply only to publicly traded companies, all companies and their executives need to be aware of the new expectations for and requirements of those involved in corporate governance, since regulators, consumers, and the press may well make no distinction between stock and mutual management and operations.
The Alliance Corporate Governance Seminar will be held at the Hilton O'Hare Hotel at Chicago O'Hare International Airport from 10 a.m. to 3 p.m.
The Alliance said the sessions should be beneficial to chief executive officers, chief financial officers, general counsel, chief legal officers, board members, audit committee members and any other corporate officers required to sign financial statements or reports.
Seminar topics will include:
? An overview of the Sarbanes-Oxley Act of 2002.
? Financial reporting and disclosure requirements.
? Role and independence of audit committees.
? Auditor independence issues.
? Ethical dilemmas under the new rules.
? Criminal laws relating to corporate governance.
? New responsibilities for corporate attorneys.
? Liability exposures for those involved in corporate governance.
